1. Personal data protection

1.1. The laboratory commits to comply with current regulations on personal data protection, including, among others, Organic Law 3/2018, of December 5, on Personal Data Protection and Guarantee of Digital Rights, as well as Regulation (EU) 2016/679 of the European Parliament and of the Council of April 27, 2016 (General Data Protection Regulation, GDPR).

1.2. The confidentiality, integrity, and security of the client’s personal data are guaranteed, which will be processed exclusively for the proper provision of the contracted services. Under no circumstances will the data be disclosed to third parties without the client’s prior, express, and informed consent, except in legally provided cases.

1.3. The client may exercise their rights of access, rectification, erasure, limitation of processing, objection, and portability of their personal data by submitting a written request to the email address admin@embryotools.com, clearly indicating their identity and the right they wish to exercise.

 

2. Quality

2.1. The laboratory commits to performing the requested services in accordance with the quality standards of ISO 17025, ensuring the accuracy and reliability of the results.

 

3. Confidentiality

3.1. The methods used in the laboratory are the laboratory’s intellectual property and are considered confidential. The client shall have no rights whatsoever over such methods and may not replicate or use them outside the scope of the services provided by the laboratory.

 

4. Liability

4.1. In the event that complications arise during the process, the client agrees to assume the associated risks and costs.

4.2. The laboratory commits to conducting tests and analyses with the higher degree of accuracy reasonably achievable but is not responsible for errors that may result from incorrect interpretation of the results by unauthorized third parties or decisions based on them without having sought prior advice from a qualified professional.

4.3. The client will be responsible for any damage or loss resulting from failure to comply with the recommended storage or handling conditions.

 

5. Delivery time

5.1. Test results shall be delivered within the timeframe specified by the laboratory depending on the type of service requested. If delays occur due to reasons beyond the laboratory’s control, the client will be informed in a timely manner.

 

6. Ownership

6.1. Samples provided by the client remain their sole property, and the laboratory will use them solely for the purposes established in the service provision. The client authorizes the laboratory to retain samples for additional analyses unless expressly opposed.

 

7. Payment and billing conditions

7.1. The client agrees to make payment for the services rendered within the deadlines established in the estimate or invoice.

7.2. If payment is not received within the stipulated period, the laboratory reserves the right to temporarily suspend services until payment is completed, without t prejudice to any rights or guarantees held by the laboratory’s part and without prejudice to any other remedies available under law.

7.3. Payments must be made under the same general conditions, and the client is responsible for any additional costs arising from additional treatments or complications.

7.4. The client is responsible for covering any costs associated with tariffs, import taxes, customs duties, or other similar charges that may apply during the shipping and delivery process. These expenses are not included in the initial estimate and will be borne by the client at the time they are incurred. If such charges are not paid on time, the client agrees to cover any penalties or additional costs arising from the delay or non-compliance with these payments.

 

8. Conditions

8.1. The client agrees to submit the duly completed sample registration form (LSR) simultaneously with the physical shipment of the sample to the laboratory.

8.2. Embryotools S.L reserves the right to modify these conditions at any time. Any changes will be communicated to the client by email or via publication on the website and will take effect upon notice, unless expressly opposed by the client within five (5) calendar days.

8.3. By requesting the laboratory’s services, the client declares having read, understood, and accepted all the conditions set forth in this document.

 

9. Limitation of liability

9.1. The total liability of the laboratory, regardless of the cause, will be limited to the amount actually paid by the client for the specific service that gave rise to the claim. Under no circumstances will the laboratory be liable for indirect damages, loss of profit, or loss of opportunity.

 

10. Applicable law and jurisdiction

10.1. These conditions are governed by Spanish law. Any dispute arising from their interpretation or fulfilment will be resolved by the Courts and Tribunals of Barcelona, with express waiver of any other jurisdiction to which the client may be entitled.
